IMPORTANT LEGAL NOTICE

Centum DST LLC d/b/a Centum Capital ("Centum Capital") is NOT a registered broker-dealer under the Securities Exchange Act of 1934 and is NOT registered as an investment adviser under the Investment Advisers Act of 1940. Centum Capital does not offer, sell, or solicit the purchase of securities. All investment opportunities presented through this platform are offered exclusively by and through the applicable Sponsor pursuant to applicable exemptions from registration.

1. Acceptance of Terms

By accessing or using the Centum Capital website at www.centumcap.com (the "Site") or any of our platform services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site or our services. These Terms constitute a legally binding agreement between you and Centum DST LLC d/b/a Centum Capital.

2. Description of Services

Centum Capital provides the following services through this platform:

  • Capital Markets Advisory: Debt placement, equity placement, and capital structuring advisory services for commercial real estate transactions.
  • Deal Room Platform: A secure online environment where qualified investors can review investment opportunities after executing an NCNDA.
  • AI Investor Qualification: An automated interview process to assess investor suitability for specific opportunities.
  • Broker Co-Brokerage Program: A referral and co-brokerage arrangement for licensed real estate professionals.
  • Distressed Asset Portal: Information and advisory services related to distressed commercial real estate assets.

3. Eligibility

To access investment opportunities through our Deal Room, you must be a verified accredited investor as defined in Rule 501(a) of Regulation D under the Securities Act of 1933. By submitting information through our AI Qualification Engine or Deal Room, you represent and warrant that you meet the applicable eligibility requirements. Centum Capital reserves the right to verify your accreditation status and to deny access to any person who does not meet the applicable requirements.

4. Non-Compete Non-Disclosure Agreement (NCNDA)

Access to certain deal information, sponsor identities, and confidential offering materials requires execution of a Non-Compete Non-Disclosure Agreement. By signing an NCNDA through our platform, you agree to keep all disclosed information strictly confidential, not to circumvent Centum Capital in any transaction arising from information disclosed through the platform, and to comply with all terms of the NCNDA. Violation of the NCNDA may result in legal action and liability for damages.

5. No Investment Advice

Nothing on this Site or provided through our services constitutes investment advice, legal advice, tax advice, or accounting advice. All information is provided for informational purposes only. All financial projections, pro formas, return estimates, and forward-looking statements are prepared by the applicable Sponsor and are subject to material risks and uncertainties. Past performance is not indicative of future results. No guarantee of return is made or implied. You should consult with independent qualified professionals before making any investment decision.

6. Broker Co-Brokerage Program

Licensed real estate brokers participating in our co-brokerage program agree to the following: (a) a co-brokerage fee of 1% of equity raised will be paid upon successful closing of a transaction attributable to a broker's referred investor; (b) no fee will be paid if the referred investor is already in Centum Capital's database prior to the referral; (c) all co-brokerage arrangements must be confirmed in writing before any transaction closes; (d) brokers must execute an NCNDA before accessing deal details; and (e) brokers are responsible for compliance with all applicable licensing requirements in their jurisdiction.

7. Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, images, and software, is the property of Centum DST LLC or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written consent.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CENTUM CAPITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SITE OR OUR SERVICES, EVEN IF CENTUM CAPITAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CENTUM CAPITAL EXPRESSLY DISCLAIMS ANY LIABILITY FOR INVESTMENT LOSSES ARISING FROM RELIANCE ON SPONSOR-PROVIDED INFORMATION.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Bergen County, New Jersey.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Site after such changes constitutes your acceptance of the new Terms.
